Non-Compete Agreements in Korea: Why Compensation Adequacy Is Becoming the Decisive Factor for Enforceability

1. The Shifting Landscape: Traditional Non-Compete Strategies Face Heightened Judicial Scrutiny
<div> 
As competition for talent intensifies across Korea’s key industries, employers increasingly rely on non-compete agreements to protect confidential information and commercially sensitive know-how.  However, a signed non-compete does not automatically guarantee enforcement.  Korean courts have held that post-employment restrictions may be invalid if they excessively limit an employee’s constitutional freedom to choose an occupation.  The Supreme Court identified six factors for assessing enforceability: (i) the employer’s legitimate business interests worthy of protection, (ii) the employee’s position prior to departure, (iii) the duration, geographic scope, and scope of restricted activities, (iv) whether compensation was provided for the restriction, (v) circumstances surrounding the employee’s departure, and (vi) other relevant considerations (Supreme Court Decision 2009Da82244, March 11, 2010). 
 
Among these six factors, the most fiercely contested in recent practice is factor (iv) – whether adequate compensation was provided.  Employers often argue that high salaries already constitute sufficient consideration, while employees counter that such payments were merely compensation for services rendered.  Recent lower-court decisions suggest that courts are applying increasingly rigorous standards in scrutinizing whether employees received adequate compensation specifically linked to the non-compete obligation rather than relying on broad contractual language or general compensation packages. </div>
 
 
2. Recent Case Law: Courts Demand a Clear Link Between Compensation and Restrictions 
 
Korean courts have not traditionally required a separately labeled non-compete allowance, but acknowledged that compensation may take various forms (Daejeon High Court Decision 2018Ra126, July 19, 2018).  Recent lower-court decisions, however, apply increasingly stringent standards – examining whether compensation was adequate to offset the harm the employee suffers due to restrictions on future employment opportunities, rather than merely asking whether the employee received substantial compensation during employment. 
 
 
3. Enforcement Upheld: Compensation Expressly Linked to Restrictions 
 
Courts have upheld non-compete agreements where compensation was closely connected to the restriction.  In Seoul Northern District Court Decision 2021GaDan150818 (December 20, 2022), an employee’s simultaneous promotion to an executive role – with annual compensation increasing to approximately KRW 325 million – was treated as including consideration for the non-compete agreement.  In Seoul High Court Decision 2019Ra20390 (July 8, 2019), a semiconductor technology team leader received approximately KRW 166 million in special incentives over fifteen years.  Critically, the incentive agreement expressly stated that the purpose was to “prevent transfers to competitors,” and included non-compete obligations and penalty provisions.  The court recognized this as compensatory consideration for post-employment restrictions, not merely a long-service bonus. 
 
In Uijeongbu District Court, Goyang Branch Decision 2013KaHap5001 (November 14, 2013), a telecommunications equipment company entered into an advisory agreement with a departing executive for the same one-year period as the non-compete restriction, with advisory fees of approximately KRW 163 million.  The court found that the exact alignment between the non-compete period and the advisory period, combined with the fact that such advisory arrangements were not offered uniformly to all departing executives, supported recognition of the fees as non-compete compensation.  In Suwon District Court Decision 2021KaHap10309 (May 4, 2022), an executive who had worked at a semiconductor company for approximately 19 years was offered KRW 368 million in long-term performance incentives but, ultimately, only KRW 184 million was paid after retirement.  The court held that the overall compensation structure – including consistent promotions, high salary, bonuses, and the post-retirement incentive payment – precluded invalidation solely for lack of separately attributed non-compete compensation. 
 
 
4. Enforcement Denied: Compensation Lacking a Clear Non-Compete Purpose 
 
Conversely, courts have refused to enforce restrictions where compensation lacked a clear link to the non-compete.  In Suwon High Court Decision 2022Ra329 (April 18, 2023), the court held that promotions and educational opportunities provided before the non-compete agreement was executed could not serve as consideration for a later restriction, clarifying that the adequacy of consideration must be assessed as of the time the non-compete agreement is signed.  In Seoul High Court Decision 2020Ra20732 (November 12, 2020), an employee at an e-commerce platform received rapid promotions, a high salary, the opportunity to participate in a global leadership program, and special incentives including a Retention Award.  However, unlike the special incentives in Seoul High Court Decision 2019Ra20390, these incentives were structured to be forfeited if the employee failed to complete a specified service period, and were not expressly linked to post-employment non-compete obligations.  The court in Seoul High Court Decision 2020Ra20732 thus found such incentives served primarily to reward past performance and encourage retention, not to compensate for post-employment restrictions. 
 
In Suwon District Court Decision 2022KaHap10487 (July 27, 2023), technical employees at a semiconductor company received long-term stock incentives and technology allowances.  Although similar in form to the benefits in Suwon District Court Decision 2021KaHap10309, the court reached a different conclusion.  The stock incentives were structured so that employees could only vest a portion upon departure, indicating their purpose was to encourage long-term service.  The technology allowances were paid uniformly to a broad range of employees.  Neither were found to be sufficient compensation for non-compete restrictions.  Most notably, in Seoul Eastern District Court Decision 2023KaHap10185 (December 29, 2023), multiple employees signed two-year non-compete agreements after receiving special incentives of KRW 15 million each.  Although labeled as “special incentives” – the same term used in Seoul High Court Decision 2019Ra20390 – the amount was modest, the payments were made one to two years before departure, and portions were returned upon resignation, revealing their true nature as long-service bonuses.  Ultimately, the court held that KRW 15 million was insufficient to offset the harm of a two-year restriction, signaling that courts now evaluate not only the existence but also the adequacy of compensation relative to the burden imposed. 
 
 
5. Comparative Perspective: How Korea Diverges from English and New York Law 
 
Under English law, restrictive covenants are enforceable if they impose no greater restraint than reasonably necessary to protect the employer’s legitimate business interests.1)  Unlike in Korea, English courts do not view compensation as capable of curing an unreasonable covenant.2)  In Bartholomews Agri Food Ltd v Thornton [2016] EWHC 648 (QB), the High Court observed that an employer cannot “purchase” an unlawful restraint by continuing to pay the employee during the restricted period.  The English inquiry thus centers on the restraint’s reasonableness, not on compensation adequacy. 
 
New York law similarly focuses on reasonableness and undue hardship.3)  Compensation is not a prerequisite to enforceability, though it may provide flexibility in assessing reasonableness.4)  Thus, in International Business Machines Corp. v. De Freitas Lima, a portion of the approximately USD 20 million in compensation payable to the defendant over a four-year period was recognized as advance non-compete consideration.5)  In any event, under New York law a non-compete agreement must be supported by consideration – either at inception of employment or through new consideration if introduced later.6) 
 
Korean courts, by contrast, increasingly treat the existence, purpose, timing, and adequacy of compensation as a key indicator of whether a covenant strikes a fair balance – unlike English law (where compensation cannot rescue an excessive covenant) or New York law (where compensation serves a contractual consideration function).  For multinational companies, this means restrictive covenants routinely enforceable under English or New York law may face greater scrutiny in Korea if unsupported by compensation expressly tied to the employee’s post-employment obligations. 
 
 
6. Practical Takeaways for Foreign Employers Operating in Korea 
 
The case law reveals that Korean courts are applying increasingly specific and stringent standards for recognizing non-compete compensation.  Employers should avoid relying solely on broad contractual language, as courts focus on substantive fairness. Compensation supporting a non-compete should be clearly documented and expressly linked to the restriction – incentive plans, advisory agreements, deferred compensation, or garden leave-type payments are more persuasive where their connection to the non-compete is explicit. 
 
Employers should also ensure compensation is proportionate to the restriction’s duration and scope, as courts are willing to assess whether the amount meaningfully offsets the employee’s loss of future employment opportunities.  Finally, timing matters as well, since courts are reluctant to treat benefits provided long before execution of a non-compete as valid consideration, and the strongest cases involve arrangements negotiated contemporaneously with the restrictive covenant.
