Jipyong’s integrated teams consisting of the M&A Group, Global Business Group, Financial Regulations Team, Restructuring Team, and Tax Team — collaborate to facilitate diverse financing and acquisition transactions. These include securing loans from financial institutions, issuing corporate bonds and new shares of target companies, and acquiring liabilities of target companies. For transactions involving mezzanine securities such as CB and BW in acquisition financing, we offer comprehensive legal advice which includes structuring transactions, addressing issues such as director liability for leveraged buy-outs (LBO), and preparing all necessary transaction documents.

Specifically, in acquisition financing towards the end of a rehabilitation process, our teams work jointly with the Restructuring Team to handle legal challenges arising from the rehabilitation process while simultaneously securing required funding.

Drawing on our expertise in global business, financial industries, restructuring, and regulatory matters, we also manage mergers and acquisitions involving domestic and foreign financial institutions. These transactions are highly regulated, considering factors like institution size, governance, and acquiring necessary qualifications. We provide advisory services to Korean financial institutions on their international initiatives, such as establishing financial entities abroad or engaging in mergers and acquisitions. Leveraging our overseas offices and networks, we support Korean financial institutions with overseas operations in navigating compliance requirements and local business practices.
